BOARD OF DIRECTORS OF THE ANGELFISH SOCIETY
BOARD
RESOLUTION 2004-00001 Legal Considerations – Policies
& Agreements
A meeting of
the Board of Directors of The Angelfish Society was held on June
4, 2004
The Angelfish
Society, being predominantly an internet community and
organization with an official website,
http://theangelfishsociety.org, and incorporated under the
laws of the state of New York as a Not-For-Profit Corporation as
of the date of this resolution, does hereby resolve by majority
vote of the Board of Directors to incorporate into the Official
Policies of The Angelfish Society the following documents
regarding operation of The Angelfish Society website, public
forums, and membership enrollment in the organization:

Procedures of the Board of Directors:
Legal Considerations:

Legal Notices
2.
Privacy Policies
3.
TAS Official Forum Agreement & Registration
4.
Members Agreement
Whereas,
the Board of Directors do concur
that the passing of this resolution incorporating the above
documents into the Official Policies of The Angelfish Society is
in protection of the best interests of The Angelfish Society.
Whereas,
the Board of Directors do concur that the passing of this
resolution is in accordance with the authority vested in them
and as part of their duties under:
Bylaws Article IV: Directors and Officers Section 1. Board of
Directors.
The Board
shall be comprised of the officers and 5 other persons all of
whom shall be members in good standing and all of whom shall be
elected for two-year terms at TAS's annual meeting as provided
in Article V and shall serve until their successors are elected.
General management of TAS's affairs shall be entrusted to
the Board of Directors.
Whereas,
the Board of Directors do concur that any documents referenced
above are ordered to be kept as part of the Official Records of
The Angelfish Society by the Secretary and attached to this
resolution.
Whereas,
the Board of Directors do concur that any internet location
under the auspices of TAS and accessed by members or visitors
have the above items available for review at all times.
Whereas,
the Board of Directors do concur that the above items will be
reviewed in the Annual Meetings as described by the governing
Bylaws of The Angelfish Society for any revisions made necessary
by change of incorporation, hosting agreements, taxation status,
Federal law, as per the laws of the state of incorporation, or
other revisions or considerations as required with the specific
intent of preserving the best interests of the Organization.
Whereas,
the Board of Directors do concur that any changes to the above
referenced documents must be made by a Resolution of the Board
of Directors of The Angelfish Society in accordance with its
Bylaws and the laws of the State under which it operates.
Resolved this 4th day of June, 2004 by a
majority vote of the Board of Directors for The Angelfish
Society in attendance and in accordance with its governing
Bylaws.
