BOARD RESOLUTION 2004-00002
Committees - Presentation
A
meeting of the Board of Directors of The Angelfish Society was
held on June 4, 2004
The Angelfish Society, being predominantly an internet
community and organization with an official website,
http://theangelfishsociety.org, and incorporated under the
laws of the state of New York as a Not-For-Profit Corporation as
of the date of this resolution, does hereby resolve by majority
vote of the Board of Directors to authorize the formation of the
Presentation Committee

New Committee Authorization:
1.
The Committee will be known as the Presentation Committee
2. Focus &
Purpose: The Presentation Committee will organize
presentations for scheduled Members Meetings. It is
formed with the intent to provide educational and information
presentations for all scheduled meetings for members in
keeping with the organization’s mission statement. The
presentations will be archived on the TAS website. The
importance of providing the presentations as a members benefit
encompasses the focus and purpose and interests of the
majority of all of the currently existing standing committees.
This committee will also network with other organizations to
develop additional resources and enhance the variety of
presentations available.
3. The
President shall hold the
position of Chair
4. The
Committee Status will be standing.

Additional Members of the Committee will be identified by
and managed by the Chair as needed.
Whereas, the Board of Directors do concur that the passing
of this resolution is in accordance with the authority vested in
them and as part of their duties under:
1.
Bylaws
Article IV: Directors and Officers Section 1. Board of
Directors. The Board shall be comprised of the officers and 5
other persons all of whom shall be members in good standing
and all of whom shall be elected for two-year terms at TAS's
annual meeting as provided in Article V and shall serve until
their successors are elected. General management of TAS's
affairs shall be entrusted to the Board of Directors.
2.
Bylaws ARTICLE VII: Other Committees.
Section 1.
The Board may each year appoint standing committees to advance
the work of TAS in such matters like membership, website and
other areas which may well be served by committees. Such
committees shall always be subject to the final authority of the
Board. Special committees may also be appointed by the Board to
aid it on particular projects.
Section 2.
Any standing committee appointment may be terminated by a
majority vote of the full membership of the Board upon written
notice to the appointee; and the Board may appoint successors to
those persons whose services have been terminated
Whereas, the Board of Directors do concur that any
documents or reports referenced above are ordered to be kept as
part of the Official Records of The Angelfish Society by the
Secretary.
Whereas, the Board of Directors do concur that
Board Resolution 2004-00002 is
to be made part of the official records by the Secretary.
Whereas, the Board of Directors do concur that
any changes to the above referenced policies & procedures for
Committees Authorization - Presentation Committee must be made
by a Resolution of the Board of Directors of The Angelfish
Society in accordance with its Bylaws and the laws of the State
under which it operates.
Resolved this
4th day of June, 2004 by a majority vote of the Board of
Directors for The Angelfish Society in attendance and in
accordance with its governing Bylaws
